Version 1.1 · Effective 13 October 2026

Terms of Service

These terms form part of every services agreement between SG MediaTech and its clients. They are referred to by the one-page Services Agreement you sign, and they apply from the start date written on it.

The Services Agreement says which plan you are on, what it costs and when it starts. These terms say how the work runs. Where the two ever disagree, the Services Agreement wins.

1. What we do for you

We provide the services listed in the Services Agreement at the end of this agreement. The Services Agreement sets out which plan you are on, what it costs, and when it starts. If we ever disagree about what is included, the Services Agreement and these terms are the answer — not an email, a phone call, or a proposal that came before.

2. The promise, in six words

Broken things are covered. New things are quoted.

If something that is supposed to work has stopped working, fixing it is what your plan is for. There are no ticket charges, no hourly meter, and no argument about whether it counts.

If you want something built that does not exist yet — a new system, a new integration, extra website pages, a project — we quote a flat price first and you approve it in writing before any work starts. You will never receive an invoice for something you did not agree to in advance.

3. Support hours and response times

Support hours are Monday to Friday, 8:00am to 5:00pm Pacific, except on the holidays below.

We are closed on New Year’s Day, Martin Luther King Jr. Day, Memorial Day, Independence Day, Labor Day, Veterans Day, Thanksgiving Day, Christmas Day and New Year’s Eve. When one of these falls on a weekend, we close on the nearest weekday instead — the Friday before or the Monday after. December dates are exactly as listed below.

Limited hours, 8:00am to 12:00pm Pacific: Christmas Eve every year; 28–30 December 2026; and 27–30 December 2027. Response times on these days are measured within the limited hours.

Response times are measured during support hours. The clock pauses outside them and resumes the next business morning.

  • Urgent — response within 1 hour. Urgent means the issue affects your whole organization: email is down, nobody can work, or Sunday’s service is at risk.
  • Everything else — response within 4 hours. One person blocked, something broken with a workaround, requests, changes, questions.

Response means a person has read your request, told you what is happening, and given you a next step. It does not mean the issue is resolved — some things take longer, and we will always tell you what to expect.

We classify priority, not the requester. If we reclassify something you marked urgent, we will tell you and explain why.

Support outside these hours is not included. If we ever help outside them, it is a favor freely given and does not change this agreement or create an expectation.

4. How to reach us

All requests go to support@sgmediatech.com, from anyone on your staff. Requests sent by text, personal email, phone or social message are not tracked and are not covered by the response times above — we will simply ask you to send them to the support address.

Please name one primary contact in the Services Agreement. They are who we consult when a request needs a decision, and who approves quotes on your behalf.

5. We work remotely

SG MediaTech is a fully remote service. Nearly everything a small office needs can be handled remotely, usually faster than anyone could travel to you.

When something physical needs doing — a device rebooted, a cable reseated, a serial number read — we guide a member of your staff or a volunteer through it live on a video call, at no extra charge. This is a normal part of the service, not an exception.

For physical work requiring a qualified technician, we will help you find a local vendor, tell you what to ask for, and review their work. That vendor contracts with you directly and is paid by you; we are not responsible for their work, and we do not receive any commission or referral fee from them.

6. What you agree to do

  • Give us the access we need to the systems we are asked to support, and tell us promptly when staff join or leave.
  • Send requests to the support address rather than to us personally.
  • Provide content on time. Where your plan includes newsletters, social posts or slides, we build and send what you supply — we do not write your content. Content must reach us by the deadline stated in the Services Agreement. If it arrives late or not at all, that send simply does not go out, and it is not made up later.
  • Buy your own hardware and software licenses. We research and recommend; you order and pay directly, in your own name, so that everything you buy belongs to you and no purchase passes through us.
  • Pay on time under clause 8.

7. Backups — please read this one carefully

We check backups. We do not supply them. Where your plan includes backup checks, we verify that your existing backup runs and appears able to restore, and we tell you when it does not. We are not your backup service, and we cannot guarantee that any backup will successfully restore.

Microsoft 365 and Google Workspace do not back up your data. Their retention policies are not backups. If your organization has no backup product beyond what those services include, we will tell you so and recommend one — and it is your decision whether to buy it.

You remain responsible for ensuring your organization has adequate backup and for the consequences if it does not.

8. Fees and payment

  • Payment is by credit card on automatic monthly billing, charged in advance on the same day each month. There is no surcharge for paying by card.
  • Projects are quoted flat and invoiced as agreed in the quote.
  • If a card is declined, our processor will automatically retry and notify you. If payment has not been resolved within 15 days, we may pause service until it is, after telling you first.
  • Prices may change with 60 days’ written notice, and never during your initial term. If you do not accept a price change, you may cancel effective on the date it would take effect.
  • Annual prepayment is available on request at full price. Prepaid amounts are not refundable except as set out in clause 11.

9. Your website

This clause applies if your plan includes a website.

  • We build it at no charge, up to the page count in the Services Agreement. Additional pages are quoted before they are built.
  • The website is yours. On completion you own the content, the design as delivered to you, and your domain name. We keep ownership of any general-purpose code, tools or templates we reuse across clients, and grant you a permanent license to keep using them as part of your site.
  • Your domain stays registered in your name. We will administer it if you ask, but we will not hold it.
  • Hosting is included while your plan is active. If your plan ends, we will provide a complete export of your website and help you move it — see clause 11.

10. Confidentiality, credentials and subcontractors

  • We keep your information confidential. We will not disclose your data, systems or organizational information to anyone outside SG MediaTech except as required by law, and this obligation continues after this agreement ends.
  • Credentials are held securely in an encrypted password manager and used only to perform the services. We will not share them with third parties.
  • We may use subcontractors for production work — for example, building website pages or migrating content — under our supervision and bound by the same confidentiality obligations. We remain fully responsible for their work, they never contact you directly, and they are never given access to your live systems, credentials, or any donor, financial or pastoral records.

11. Term, renewal and cancellation

  • Initial term: 12 months from the start date in the Services Agreement, billed monthly.
  • After that, this agreement continues month to month until either of us ends it.
  • To cancel after the initial term, either of us may give 30 days’ written notice. Notice by email is fine.
  • Cancelling during the initial term means the remaining monthly payments for that term become due — because a free website build and setup work were provided up front on the strength of the 12-month commitment.
  • Either of us may end this agreement immediately if the other materially breaches it and has not fixed the breach within 15 days of being told about it in writing.
  • When this agreement ends, we will provide a complete export of your website and data, transfer administrative access to whoever you name, and give you up to 5 hours of transition help at no charge. We will not hold your data, domain or accounts hostage under any circumstances, including a payment dispute.

12. What is not included

To be clear about the edges, this agreement does not include: writing original content for you; designing graphics from scratch unless a design service is listed in the Services Agreement; on-site physical work; hardware, software licenses or third-party subscriptions; A/V system design or installation; work outside support hours; or anything quoted separately as a project and not yet approved.

13. Limits on responsibility

We will perform the services with reasonable skill and care. Beyond that, we make no warranties, express or implied.

Neither of us is liable to the other for indirect or consequential losses — including lost income, lost donations, lost data, or loss of goodwill — even if the possibility was known.

Our total liability under this agreement, for any and all claims, is limited to the total fees you paid us in the 12 months before the claim arose.

Nothing in this clause limits liability that cannot be limited by law, including for fraud or willful misconduct.

14. Insurance

We maintain professional liability / cyber liability / errors & omissions liability insurance and will provide a certificate of insurance on request.

15. Third-party services

Some services depend on providers we do not control — Microsoft, Google, your internet provider, your hosting platform, payment and giving platforms. We are not responsible for their outages, price changes, or changes to how their products work. When something is their fault, we will tell you plainly and help you deal with them.

16. Changes to this agreement

Any change must be in writing and agreed by both of us. Email is fine, as long as both sides confirm.

17. If we disagree

If something goes wrong, we both agree to talk about it directly first, and to keep talking for at least 30 days before either of us takes any formal step. Most problems between reasonable people are solved in a phone call.

18. Governing law

This agreement is governed by the laws of the State of California, and any dispute will be handled in the courts of Santa Clara County, California.

19. The whole agreement

These terms and the Services Agreement are the entire agreement between us, and replace anything discussed or proposed beforehand. If any part of it is found unenforceable, the rest still applies.

Questions about any of this

If anything here is unclear, ask before you sign rather than after. Email hello@sgmediatech.com and you will get a plain answer.

We may update these terms. Changes never apply to your initial term, and we give 60 days’ written notice before any change takes effect. The version and date at the top of this page tell you which set you are reading.
